1. Who We Are

RankCite provides AI search and answer engine optimization consulting, related advisory work, and analytics software that helps businesses measure and improve their visibility across AI search engines.

2. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract to use the Services. If you create an account, you are responsible for keeping your credentials secure and for all activity that occurs under your account.

3. Services and Engagements

Consulting engagements are defined in a separate proposal, statement of work, or order. Where there is a conflict between such a document and these Terms, the signed engagement document controls for that engagement. Software access is provided on the plan you select.

4. Fees and Payment

You agree to pay all fees for the Services you purchase. Unless stated otherwise, fees are exclusive of taxes, are non-refundable, and subscriptions renew automatically until cancelled. We may change pricing on a going-forward basis with reasonable notice.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful or fraudulent purpose.
• Attempt to gain unauthorized access to our systems or interfere with their operation.
• Reverse engineer, resell, or copy the software except as permitted by law or your plan.
• Upload content or data that infringes the rights of others or violates applicable law.

6. Customer Data

You retain ownership of the data you submit to our analytics software. You grant us a limited license to process that data solely to provide and improve the Services. You are responsible for ensuring you have the rights to share any data you provide.

7. Intellectual Property

We retain all rights in our website, software, methods, and materials, including any deliverables' underlying tools and templates. Subject to payment, you receive a license to use the deliverables we provide for your internal business purposes.

8. No Guarantee of Results

AI search engines and their ranking and citation behavior are outside our control and change frequently. We apply professional best practices, but we do not guarantee specific rankings, citations, traffic, or revenue outcomes.

9. Third-Party Services

The Services may link to or rely on third-party platforms and tools. We are not responsible for third-party services, and your use of them is governed by their own terms.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, RankCite will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the three months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold RankCite harmless from claims, losses, and expenses arising out of your use of the Services, your data, or your violation of these Terms.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required to protect our Services or other users. Provisions that by their nature should survive termination will continue to apply.

14. Governing Law

These Terms are governed by the laws applicable at RankCite's principal place of business, without regard to conflict of laws rules. You agree to resolve any dispute in the courts having jurisdiction over that location, unless applicable law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page. Your continued use of the Services after changes take effect means you accept the updated Terms.
